Terms & Conditions: Acceptance of Quotes & Invoices

Acceptance of Quote or Invoice

A quotation, invoice, sales agreement, or other order issued by ZipGrow Inc. will be considered accepted and binding upon the customer when the customer completes any one or more of the following actions:

  • QuickBooks Online Acceptance: Electronically accepts or approves the quotation or estimate through QuickBooks Online or another electronic quotation or invoicing platform used by ZipGrow.

  • Written Confirmation: Provides written confirmation of acceptance by email, purchase order, electronic message, or other written communication authorizing ZipGrow to proceed with the order, project, or services.

  • Signed Sales Agreement: Signs and returns a ZipGrow sales agreement, quotation, proposal, order confirmation, or other document relating to the purchase.

  • Deposit or Payment: Makes the initial deposit, progress payment, or payment in full toward the quotation, invoice, project, products, or services.

By completing any of the above actions, the customer confirms that they have reviewed and accepted the applicable quotation or invoice, including the scope of work, products and services, pricing, payment terms, specifications, and these Terms & Conditions, and authorizes ZipGrow to proceed accordingly.

Once acceptance has occurred, ZipGrow may begin design work, procurement, manufacturing, scheduling, or other activities related to the order. Any cancellation or modification following acceptance will be subject to ZipGrow’s cancellation, change-order, deposit, and non-refundable service provisions.

Where a deposit or payment is received before a separate sales agreement is signed, such payment will nevertheless constitute acceptance of the applicable quotation or invoice and these Terms & Conditions unless otherwise agreed by ZipGrow in writing.

1. Quote Validity
Unless otherwise specified in writing, all quotations issued by ZipGrow Inc. are valid for thirty (30) days from the date of issue. Pricing, availability, lead times, and other terms may be revised after the quotation expires.

2. Pricing
All prices are based on the scope, quantities, specifications, and information available at the time the quotation is prepared. Any changes to the scope, specifications, quantities, design requirements, delivery requirements, or project conditions may result in additional charges.

Unless specifically stated otherwise, applicable taxes, duties, customs fees, brokerage fees, permits, site preparation, electrical work, plumbing work, crane services, installation, and other third-party costs are not included.

3. Shipping & Freight
Shipping and freight charges provided in a quotation are estimates based on rates available at the time of quotation and are subject to change without notice. Final shipping charges may be adjusted to reflect actual carrier rates, fuel surcharges, accessorial charges, customs requirements, delivery conditions, or other transportation-related costs applicable at the time of shipment.

The customer is responsible for any additional transportation charges resulting from delivery delays, incorrect delivery information, limited site access, missed delivery appointments, storage, redelivery, detention, or other circumstances outside of ZipGrow’s control.

4. Design, Engineering & Consulting Services
All payments made for design, engineering, drafting, consulting, planning, customization, or other professional services are non-refundable once work has commenced.

Design services compensate ZipGrow for time, expertise, research, planning, drawings, recommendations, revisions, and other work performed, regardless of whether the customer ultimately proceeds with the purchase, construction, or implementation of the proposed system.

Unless expressly included in the quoted scope, additional revisions, redesigns, meetings, engineering requirements, or changes requested after work has begun may be subject to additional charges.

5. Deposits, Payments & Order Acceptance
An order is not considered accepted or scheduled for production until ZipGrow has received all required approvals, purchase orders, deposits, and/or payments specified in the quotation.

Deposits and progress payments may become non-refundable once materials have been ordered, manufacturing has commenced, custom work has begun, or costs have otherwise been incurred by ZipGrow in connection with the order.

Payment schedules and payment terms stated on the quotation or invoice form part of these Terms & Conditions.

ZipGrow reserves the right to suspend production, shipment, installation, training, or other services if required payments are overdue.

6. Changes & Change Orders
Any customer-requested change to the approved scope, specifications, design, quantity, configuration, delivery location, delivery schedule, or project requirements may require a revised quotation or change order.

Changes may affect pricing and lead times. ZipGrow is not responsible for delays arising from customer-requested changes or delays in receiving customer approvals, information, payments, or site readiness.

7. Lead Times & Delivery Dates
Production schedules, completion dates, shipping dates, and delivery dates are estimates unless expressly guaranteed in writing.

Lead times may be affected by material availability, supplier delays, carrier availability, customs clearance, labour availability, weather, regulatory requirements, customer changes, or other circumstances outside ZipGrow’s reasonable control.

ZipGrow will make commercially reasonable efforts to meet estimated timelines but is not responsible for consequential costs, penalties, lost revenue, lost production, or other damages arising from delays outside of its reasonable control.

8. Customer Responsibilities & Site Readiness
Unless otherwise stated in writing, the customer is responsible for ensuring that the installation or delivery location is suitable and ready to receive the equipment.

This may include adequate site access, foundations, utilities, electrical service, plumbing, drainage, internet/network connections, permits, approvals, unloading equipment, crane services, and compliance with applicable local codes and regulations.

Additional costs resulting from an unprepared or inaccessible site may be charged to the customer.

9. Inspection & Acceptance
Customers must inspect shipments promptly upon delivery and notify ZipGrow in writing of any visible shipping damage, shortages, or discrepancies as soon as reasonably possible.

Claims relating to carrier damage may also be subject to the applicable carrier’s claims procedures and deadlines.

10. Product Specifications & Substitutions
ZipGrow reserves the right to make reasonable substitutions or modifications to components where necessary due to product availability, supplier changes, discontinued products, regulatory requirements, or product improvements, provided that the substituted component is reasonably equivalent in function and performance.

11. Third-Party Components
Certain equipment supplied as part of a ZipGrow system may be manufactured by third parties. Third-party components may be subject to the original manufacturer’s warranty, terms, and limitations.

ZipGrow is not responsible for manufacturer discontinuations, changes, delays, or warranty decisions relating to third-party products beyond the obligations expressly assumed by ZipGrow in writing.

12. Crop Performance & Agricultural Results
Where applicable, crop yields, production estimates, operating costs, growing schedules, profitability calculations, and other agricultural performance figures provided by ZipGrow are estimates only.

Actual results may vary based on crop variety, environmental conditions, operator experience, nutrient management, water quality, pest management, facility conditions, maintenance, market conditions, and other factors outside ZipGrow’s control. No specific crop yield, revenue, profit, or return on investment is guaranteed unless expressly stated in writing.

13. Intellectual Property & Design Ownership
All designs, drawings, specifications, layouts, concepts, documents, calculations, and other materials created by ZipGrow remain the intellectual property of ZipGrow unless ownership rights are expressly transferred under a separate written agreement.

Payment for design or consulting services does not transfer ownership of ZipGrow’s proprietary systems, designs, intellectual property, trade secrets, or manufacturing methods.

14. Cancellation
Orders cancelled after acceptance may be subject to cancellation charges, including design costs, engineering costs, materials purchased, supplier cancellation fees, manufacturing labour, administrative costs, and other costs already incurred by ZipGrow.

Custom-manufactured, specially ordered, modified, or completed products may not be cancelled or returned once production or procurement has begun.

15. Force Majeure
ZipGrow will not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, fire, flood, labour disruptions, transportation interruptions, supplier shortages, government actions, tariffs, customs delays, changes in law, utility interruptions, public health emergencies, or other events beyond ZipGrow’s reasonable control.

16. Limitation of Liability
To the fullest extent permitted by applicable law, ZipGrow will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost production, lost crops, lost business opportunities, or business interruption arising from the purchase or use of products or services.

Except where prohibited by law, ZipGrow’s aggregate liability relating to a particular order will not exceed the amount paid to ZipGrow for the specific product or service giving rise to the claim.

17. Governing Law
Unless otherwise agreed in writing, quotations, orders, and contracts issued by ZipGrow Inc. will be governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

18. Acceptance of Terms
Acceptance of a quotation, issuance of a purchase order, payment of a deposit or invoice, or authorization for ZipGrow to begin work constitutes acceptance of the quotation and these Terms & Conditions.

Where a customer’s purchase order contains terms that conflict with these Terms & Conditions, ZipGrow’s Terms & Conditions will govern unless ZipGrow expressly agrees to the conflicting terms in writing.
